1. Acceptance of Terms

By accessing and using the Rebrics website and services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Services

Rebrics provides software development and consultancy services, including but not limited to:

• Custom software development
• Fulfillment automation solutions
• Dashboard and internal tool development
• Mini-SaaS product development
• Data infrastructure and integrations
• Technical consulting and strategy

3. Project Agreements

Specific project terms, deliverables, timelines, and pricing will be outlined in separate project agreements or statements of work. These project-specific agreements will supplement and may modify these general terms of service.

4. Intellectual Property

Unless otherwise specified in a project agreement:

• Client retains ownership of their business data and existing intellectual property
• Rebrics retains ownership of general methodologies, frameworks, and reusable components
• Custom-developed solutions become the property of the client upon full payment
• Rebrics reserves the right to use general knowledge and techniques in future projects

5. Payment Terms

Payment terms will be specified in individual project agreements. Generally:

• Invoices are due within 30 days of receipt
• Late payments may incur interest charges
• Work may be suspended for overdue payments
• Final deliverables may be withheld until full payment is received

6. Confidentiality

Rebrics agrees to maintain the confidentiality of all proprietary and confidential information disclosed by the client. We will not disclose such information to third parties without written consent, except as required by law.

7. Limitation of Liability

Rebrics' liability for any claim related to our servicesshall not exceed the total amount paid by the client for the specific project or service giving rise to the claim. We shall not be liable for any indirect, incidental, or consequential damages.

8. Website Usage

By using our website, you agree to:

• Use the website for lawful purposes only
• Not attempt to gain unauthorized access to our systems
• Not transmit any malicious code or content
• Respect our intellectual property rights

9. Termination

Either party may terminate a project agreement with written notice as specified in the project agreement. Upon termination, payment will be due for all work completed up to the termination date.

10. Governing Law

These terms shall be governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of Dutch courts.

11. Changes to Terms

Rebrics reserves the right to modify these terms at any time. Changes will be effective immediately upon posting on our website. Continued use of our services constitutes acceptance of any changes.
